1. Acceptance of Terms

USBD Tech Ltd provides the following services, as described on this website:

The exact scope, timeline, and deliverables for any project are defined separately in a written quote, proposal, or agreement signed or confirmed by both parties. These Terms and Conditions apply alongside, not instead of, that project-specific agreement.

3. Project Process

Projects typically begin with a discovery or scoping phase, followed by an agreed plan, timeline, and cost estimate. Work begins only after the client confirms the scope and makes the required advance payment, where applicable. Any changes to the agreed scope after work has started may affect the project timeline and cost, and will be communicated before being applied.

4. Payments

Project payments follow the milestone schedule agreed in your project quote — typically an advance payment before work begins, with remaining balances due at agreed milestones or upon completion.

For Digital Marketing services, retainers are billed in advance on a monthly basis. Late payments may result in a pause of ongoing work until the account is settled.

5. Client Responsibilities

To keep projects on schedule, clients are expected to:

Provide timely feedback, content, and approvals when requested
Ensure any third-party accounts, access, or credentials shared with us are accurate
Review deliverables promptly and flag concerns within the agreed review period

Delays caused by late feedback, missing content, or incomplete access are not the responsibility of USBD Tech Ltd and may affect delivery timelines.

6. Intellectual Property

Upon full payment, clients receive ownership of the final custom deliverables (such as website code, custom software, or design files) built specifically for them, unless otherwise stated in the project agreement.

USBD Tech Ltd retains ownership of any pre-existing tools, frameworks, internal libraries, or proprietary processes used to build the deliverable, and reserves the right to reuse general, non-client-specific methods, components, or know-how in future projects.

USBD Tech Ltd retains the right to showcase completed work in its portfolio, website, and marketing materials, unless the client requests confidentiality in writing.

7. Third-Party Services

Some projects may involve third-party services such as domain registrars, hosting providers, payment gateways, or advertising platforms (e.g., Google Ads, Meta Ads). These services are governed by their own terms and pricing, and USBD Tech Ltd is not responsible for outages, policy changes, or charges imposed directly by third-party providers.

8. Warranties & Support

USBD Tech Ltd provides a limited post-launch support period for bug fixes related to work delivered, as specified in the project agreement. This does not cover new feature requests, changes in scope, or issues caused by third-party updates, plugins, or client-side modifications made after handover.

9. Limitation of Liability

USBD Tech Ltd makes reasonable efforts to deliver reliable, well-tested, and secure work. However, to the extent permitted by applicable law, USBD Tech Ltd is not liable for indirect, incidental, or consequential losses — including loss of revenue, data, or business opportunities — arising from the use of delivered software, websites, or systems.

10. Termination

Either party may terminate an ongoing project with written notice, subject to the terms of the specific project agreement. In the event of termination, the client is responsible for payment for all work completed up to the termination date. 11. Changes to These Terms

USBD Tech Ltd may update these Terms and Conditions from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms. We recommend checking this page periodically.

12. Governing Law

These Terms are governed by the laws of the People’s Republic of Bangladesh. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
